Introduction
These Terms of Service (“Terms”) govern your access to and use of the non-custodial, blockchain-based platform (the “Platform”) operated by Conviction, a company incorporated under the laws of the British Virgin Islands (“Company,” “we,” “us,” or “our”).The Platform enables users to participate in opinion-based, peer-to-peer outcome markets designed for information discovery and experimental market research purposes.The Platform does not operate as a bookmaker, casino, betting house, or financial intermediary, and does not take positions against users.By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.
1. Eligibility and Restricted Jurisdictions
1.1. General Eligibility
You must:• Be at least eighteen (18) years of age or the age of legal majority in your jurisdiction; and• Have the legal capacity to enter into these Terms.
1.2. Restricted Persons and Sanctions
You represent and warrant that you:• Are not a citizen, resident, or located in any Restricted Jurisdiction; and• Are not subject to sanctions administered by OFAC, the EU, the UK, or any other applicable authority.
1.3. Restricted Jurisdictions
The Platform is not available to users who are citizens, residents of, or accessing the Platform from the following jurisdictions (collectively, “Restricted Jurisdictions”):• United States of America• People’s Republic of China• Japan• Cuba, Iran, North Korea, Syria• Crimea, Donetsk, and Luhansk regions• Canada (Ontario and Quebec)• France• SingaporeWe may update this list at any time to reflect regulatory developments.
1.4. Circumvention Prohibited
You may not use VPNs, proxies, or other technologies to circumvent jurisdictional restrictions. Any such attempt constitutes a material breach of these Terms.
2. Account Creation, Smart Accounts, and Non-Custodial Structure
2.1. Wallet-as-a-Service Authentication
Access to the Platform requires authentication through Dynamic Wallet-as-a-Service (“WaaS”).Authentication is used solely to facilitate wallet connection and transaction signing.
2.2. Smart Account Deployment
Upon authentication, a non-custodial Smart Account (programmable contract account) is deployed for you on ZetaChain.The Smart Account enables peer-to-peer interaction with on-chain markets and protocols.
2.3. Non-Custodial Nature
• No Custody: The Company does not hold, control, or have access to your private keys, seed phrases, or signing authority.• User Responsibility: You are solely responsible for safeguarding your wallets, credentials, and access mechanisms.• Third-Party Services: WaaS providers facilitate access only and do not control your Smart Account or assets.
3. Nature of the Platform and Market Participation
3.1. Opinion-Based Outcome Markets
The Platform facilitates participation in peer-to-peer outcome markets that reflect users’ opinions or expectations regarding future events.Participation:• Does not constitute gambling, betting, or wagering;• Does not represent investment, financial, or speculative advice; and• Does not involve the Company acting as a counterparty.
3.2. No House, No Counterparty
The Company:• Does not act as a bookmaker, casino, dealer, or betting house;• Does not guarantee outcomes or returns; and• Does not take positions against users.Any economic exposure arises solely from peer-to-peer interactions among users.
3.3. Market Resolution and Oracle Sources
Market outcomes are determined using designated oracle sources.Oracle determinations are generally final, subject to manifest error, fraud, or system failure.The Company does not independently verify oracle data and does not guarantee accuracy or completeness.
3.4. Market Suspension or Cancellation
We may suspend, modify, or cancel markets where:• Legal or regulatory risk arises;• Resolution becomes impracticable; or• Continued operation may harm users or the Platform.
4. Risk Disclosures
4.1. General Risk Acknowledgment
Participation in outcome markets involves significant risk, including potential loss of economic value associated with on-chain positions.
4.2. No Expectation of Profit
You acknowledge that:• The Platform is not designed to generate profits;• No returns or outcomes are promised or implied; and• Participation is voluntary and experimental in nature.
4.3. Technical and Protocol Risks
Risks include, but are not limited to:• Smart contract vulnerabilities;• Oracle failures;• Blockchain congestion or reorganization;• Third-party service disruptions (including WaaS providers).
4.4. Irreversibility
Blockchain transactions are generally irreversible. Once confirmed, transactions cannot be undone.
5. Prohibited Activities
You may not:• Circumvent eligibility or jurisdictional restrictions;• Manipulate markets (including wash trading, spoofing, or collusion);• Exploit Platform data for unauthorized commercial or AI model development;• Engage in fraud, money laundering, terrorist financing, or other illegal activities.
6. Fees
The Company may charge protocol-level or service-related fees.Fees are disclosed prior to interaction and are non-refundable once incurred.We may modify fees at our discretion, subject to applicable law.
7. Intellectual Property and Data Use
All Platform software, interfaces, and content are owned by the Company or its licensors.You may not extract, replicate, or repurpose Platform data to create competing products, indices, or financial instruments.
8. Indemnification
You agree to indemnify and hold harmless the Company and its affiliates from claims arising out of:• Your violation of these Terms;• Your misuse of the Platform;• Your failure to secure wallet access or credentials.
9. Disclaimer of Warranties and Limitation of Liability
9.1. No Warranties
The Platform is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind.
9.2. Limitation of Liability
To the maximum extent permitted by law:• The Company shall not be liable for indirect, incidental, or consequential damages.• Total liability shall not exceed the lesser of USD $100 or fees paid in the preceding six (6) months.Nothing herein excludes liability that cannot be excluded under applicable law.
10. Dispute Resolution and Governing Law
These Terms are governed by the laws of the British Virgin Islands.Any dispute shall be resolved by binding arbitration under ICC Rules, seated in the BVI.You waive any right to participate in class or representative actions to the extent permitted by law.
11. General Provisions
• Privacy: Use of the Platform is subject to our Privacy Policy.• Modifications: Continued use constitutes acceptance of revised Terms.• Severability: Invalid provisions shall not affect remaining Terms.
